1. Agreement to these terms
These Terms of Service govern your access to the VortexPrime website, demos, subscriptions, AI receptionist services, and related communications. By using the website, booking a demo, signing an order, or using the service, you agree to these terms.
If you use VortexPrime on behalf of a company, you represent that you have authority to bind that company, and the words you and your refer to that company.
2. What VortexPrime provides
VortexPrime provides AI-powered voice receptionist technology for businesses, including call answering, intake, appointment booking, call summaries, notifications, integrations, and related setup or support.
We provide a technology service. VortexPrime does not provide medical, legal, financial, emergency, or other professional advice, and the AI receptionist should not be used as a substitute for licensed professionals or emergency services.
3. Onboarding and customer responsibilities
You are responsible for giving us accurate business information, approved scripts, scheduling rules, service areas, pricing guidance, escalation contacts, and any other instructions needed to configure your AI receptionist.
You are responsible for your phone forwarding, calendars, CRM, email, SMS, and other connected systems unless your order form states otherwise. You must promptly tell us about changes that could affect call handling or appointment booking.
You are responsible for reviewing AI outputs, monitoring service performance, and making final decisions about customers, appointments, pricing, emergencies, regulated services, and business operations.
4. Communications compliance
You are responsible for complying with laws that apply to your calls, recordings, transcripts, texts, emails, appointments, marketing, and customer communications, including consent, disclosure, do-not-call, and opt-out requirements.
You will not use VortexPrime to send unlawful spam, deceptive messages, unauthorized telemarketing, harassment, or communications to people who have not provided any legally required consent.
If you ask us to support SMS, email, outbound calling, or automated follow-up, you must provide compliant consent language, honor opt-out requests, and maintain any records needed to prove consent.
5. Acceptable use
You may not use VortexPrime to break the law, violate privacy rights, impersonate others, collect sensitive information without authority, interfere with the service, reverse engineer our systems, overload our infrastructure, or transmit malicious code.
You may not use the service for emergency dispatch, crisis response, life-safety decisions, medical diagnosis, legal advice, debt collection, high-risk financial decisions, or other regulated uses unless we expressly agree in writing and the required compliance controls are in place.
6. Plans, billing, and cancellation
Paid services may include setup fees, subscription fees, usage charges, pass-through vendor costs, or custom implementation fees as described on the website, proposal, invoice, checkout page, or signed order.
Subscription fees are billed in advance unless stated otherwise. You authorize us and our payment processor to charge the payment method on file for amounts due. Late payments may result in service suspension after reasonable notice.
You may cancel as described in your order or by written notice to us. Unless a written agreement says otherwise, cancellation stops future renewal charges but does not automatically refund fees already earned or costs already incurred.
7. 30-day guarantee
If your plan includes the advertised 30-day guarantee, and your AI receptionist does not book at least 10 qualified appointments during the first 30 days of active service, we will refund your setup fee and provide 60 additional days of service at no cost.
The guarantee requires that you complete onboarding, provide accurate instructions, keep call forwarding and scheduling systems connected, respond to reasonable support requests, and allow the AI receptionist to handle a meaningful volume of eligible calls. Fraud, misuse, disconnected systems, unsupported requests, or material changes to your business may void the guarantee.
8. Service availability and changes
We work to keep VortexPrime reliable, but we do not promise uninterrupted or error-free service. Availability may be affected by maintenance, internet issues, carriers, third-party platforms, AI providers, calendars, CRMs, or other systems outside our control.
We may update, improve, suspend, or discontinue features as the product evolves. We will make reasonable efforts to avoid material disruption to active customers.
9. Data, privacy, and confidentiality
Our Privacy Policy explains how we collect, use, and protect information. You retain ownership of your business data, caller information, transcripts, and appointment records processed through your account.
Each party may receive confidential business or technical information from the other. The receiving party must protect that information using reasonable care and use it only for the relationship unless disclosure is required by law.
10. Intellectual property
VortexPrime owns the website, product, workflows, software, designs, documentation, trademarks, and other materials we create, except for your pre-existing content and customer data.
You grant us a limited license to use your business information, approved scripts, branding, and connected-account data only as needed to provide, support, secure, and improve the service for you.
If you send feedback or suggestions, you allow us to use them without restriction or compensation, while you continue to own your underlying business information.
11. Disclaimers and limitation of liability
The service is provided as is and as available, except for express commitments in a signed agreement. To the fullest extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, VortexPrime will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, goodwill, or business interruption.
To the fullest extent permitted by law, our total liability for any claim is limited to the amounts you paid to VortexPrime for the service giving rise to the claim during the 12 months before the event that caused the claim.
12. Indemnity
You will defend, indemnify, and hold VortexPrime harmless from claims, damages, liabilities, and expenses arising from your business operations, your instructions to us, your misuse of the service, your violation of these terms, or your violation of applicable law or third-party rights.
13. Governing law and disputes
These terms are governed by the laws of the state and federal courts where VortexPrime is organized, without regard to conflict-of-law rules. Before filing a claim, both parties agree to try to resolve the dispute in good faith by contacting the other party and allowing a reasonable opportunity to respond.
14. Changes to these terms
We may update these terms as the service or legal requirements change. The updated version will be posted on this page with a new effective date. Continued use of the service after changes become effective means you accept the updated terms.
